Conditions of Contractors selection for conclusion of an alcoholic products supply agreement

  1. General 

1.1 SORDIS LLC (PSRN 1045207892620, TIN 5263043395) was founded in 2004 on the base of a wine producer with 40 years-long history. Unique technology-enabled production environment is equipped with Italian and German high-technology automatic lines.

1.2 Company SORDIS works with all Russian large federal trading networks delivering its’ products to more than 167 major regional distributors. According to National Alcohol Association data Company SORDIS ranks among TOP-20 of the best producers. Taxes are paid in due time and in full. Every year the enterprise demonstrates progress in productivity, income and average salary increasing export turnover.

1.3 Company SORDIS provides customers with high-quality alcoholic products. Products of Company SORDIS are presented in 65 regions of Russia, Kazakhstan, Latvia, Viet Nam, EU countries, near and far-abroad countries. Company SORDIS fully complies with quality and safety control, observes normative and technical regulations of production and distribution of food products and materials carrying out regular production quality tests both in its own accredited laboratory and in authorized expert organizations. The company has been honored with multiple quality medals and awards at international exhibitions.

1.4 The company offers potential Contractors mutually beneficial cooperation based on the free will of exchanging parties as well as equal opportunities for such cooperation.

1.5 The "Contractor" in this document is understood to be a legal entity which entered into contractual relationships with Company SORDIS for supply of alcoholic beverages so as to sell them ulteriorly on the territory of the Russian Federation.

1.6 This document includes underlying principles for Contractors selection existing in the company Company SORDIS, as well as algorithms for an agreement conclusion to start cooperation.

1.7 The present document was drawn up in accordance with the legislation of the Russian Federation.

2. Principles of Contractors selection for conclusion of an agreement for alcoholic products supply

2.1 Contractors are selected on the ground of uniform criteria based on transparency, economic efficiency and equal access to information.

2.2 The Company checks Contractors for their reliability and compliance with legislative requirements. When selecting a Contractor the preference is given to economic entities which have been engaged in business for a sufficiently long time, and proved to be reliable market partners focused on a long-term cooperation.

3. Contractors selection principles

3.1 Selection of a Contractor represents a process of checking an economic entity for its compliance with requirements for conclusion of an agreement for alcoholic products supply which are established in this document.

3.2 When selecting Contractors Company SORDIS is guided by the following criteria:

3.2.1 A Contractor is duly registered as a legal entity in accordance with the legislation of the Russian Federation.

3.2.2 No arrears in taxes and levies.

3.2.3 A Contractor is not in winding-up stage. No bankruptcy proceedings introduced against it, and its activities are not suspended.

3.2.4 Compulsory possession of a license for purchase, storage and supply of alcoholic and alcohol-containing products, or a license for alcoholic products retail sale. Such license must be valid, non-suspended, and unconcealed.

3.2.5 No facts of nonfulfillment or improper fulfillment of obligations a Contractor assumed under previously concluded transactions.

3.2.6 No claims brought against a Contractor for collection of debts under commercial agreements, no claims for collection of taxes, fees and other compulsory payments to the budget; absence of enforcement proceedings initiated against a Contractor.

3.2.7 No information about a Contractor, its top-managers and its members in the public lists posted on the website of the Federal Tax Service in the section "Business Risks" in the following registers:

Register of disqualified persons

Data on legal entities with which there is no connection at the address (location) they specified  and which was entered into the Unified State Register of Legal Entities.

Information about legal entities having tax arrears and / or rendering no tax returns for more than a year

3.2.8 Submission of accounting reports for the year preceding the year of a contract conclusion.

3.2.9 Financial covenants:

Net profit of a Contractor according to annual accounting reports ((Line 2400 of the Financial Results Report) for the year preceding the year of a contract conclusion must be positive.

The amount of the Contractor's equity capital (Line 1300 of the Balance Sheet) should not decrease in annual accounting reports.

3.3 The advantages at a Contractor selection are:

3.3.1 Availability of storage facilities, or alcoholic products retail trade premises in a Contactor’s ownership.

3.3.2 Willingness to do business on conditions of a full prepayment of products.

3.3.3 Willingness to cover the widest assortment list of alcoholic beverages produced by Company SORDIS.

3.3.4 Logistic capabilities for products unloading to a Contractor's warehouses within 2 hours since a carrier vehicle arrival.

3.3.5 Offer the maximum annual coverage of sample of alcoholic beverages.

3.3.6 The period of activity in the market of alcoholic products wholesale trade or food retailing through a retailer is at least 1 year.

3.3.7 Positive recommendations and favorable reports on a Contractor from other business entities carrying out foodstuff production.

3.3.8 Physical person surety, bank guarantee or other means of securing obligations assumed under contract.

3.3.9 Submission of interim accounting reports for the accounting period preceding the period of a contract conclusion in addition to annual accounting reports.

3.10 Degree of a Contractor’s financial solvency (K4) determined by the formula: К4 = (code 1500 – code 1530 + code 1400) / (code 2110: T), where:

code 1500 - rate for code 1500 " Short-term obligations TOTAL" of the accounting balance sheet;

code 1530 – rate for code 1530 “Income of future periods” of the accounting balance sheet.

code 1400 - rate for code 1400 " Long-term obligations TOTAL" of the accounting balance sheet;

code 2110 – rate for code 2110 “Income” of the financial results statement;

Not exceeding 2.

3.4. Reasons for refusal to cooperate with a certain Contractor.

3.4.1 Contractor non-compliance with one or several selection criteria determined by this document.

3.4.2 Lack of production capacities and logistics capabilities to meet annual needs of a Contractor for alcoholic products.

3.4.3 Impossibility to fulfil business terms and conditions proposed by a Contactor.

4. Procedure of a Supply Agreement conclusion

4.1 A Contractor, to conclude an agreement, shall submit the following documents:

A copy of the extract from the Unified State Register of Legal Entities issued not earlier than 30 days before an agreement conclusion, certified by the signature of the single executive body and the seal of a Contractor.

Legal Entity State registration.

Certificate of registration with tax authorities

A copy of the license for purchase, storage and supply of alcoholic and  retail sale of alcoholic products certified by the signature of the single executive body and a Contractor’s seal.

Copies of constituent documents including all amendments and additions to them (latest editions) certified by the signature of the single executive body of a Contractor and its seal.

A copy of the Minutes of a participants’ meeting (or a copy of a sole member resolution) on a single executive body election certified by the signature of the single executive body and a Contractor’ seal. In case the legal corporate form of a Contractor is a Joint-Stock Company, a copy of the Minutes of a meeting of shareholders shall be submitted.

The original copy of the power of attorney, or a duly certified copy of the power of attorney to a person entitled to conclude and sign an agreement in the name of a Contractor.

A Contractor’s business card filled in as per the form of Company SORDIS and signed by a Contractor’s single executive body.

Annual (interim) accounting reports

In order to select, a Contractor, for concluding a contract, the company may request additional documents in order to verify a Contactor compliance with selection criteria described in Section 3 of this document (certificate of absence of tax and levy arrears, confirmation of its own premises and other documents).

Company SORDIS guarantees the confidentiality of an information received.

4.2 Documents specified in clause 4.1 shall be sent to Company SORDIS by courier or by postal mail. The company, after documents were received, shall consider the possibility to conclude a supply contract, check a Contractor for compliance with selection criteria acting with a due diligence. Application processing time – up to 30 days.

4.3 Based on the results of consideration the Parties conclude this supply agreement (based on standard delivery terms of SORDIS, the agreement form is posted on the website, or a refusal will be sent to a Contractor due to impossibility of concluding thereof.
